E-MANTHUS TERMS AND CONDITIONS

1. ACCEPTANCE OF THESE TERMS

These Terms and Conditions ("Terms") govern your access to and use of the E-Manthus mobile application, website (if applicable), products and all related services (collectively, the "Platform") operated by E-Manthus (Pty) Ltd ("E-Manthus", "we", "our" or "us").

These Terms constitute a legally binding agreement between you and E-Manthus.

By:

  1. creating an account;
  2. browsing or accessing the Platform;
  3. placing an Order;
  4. purchasing any Product through the Platform; or
  5. otherwise using the Platform,

You acknowledge that you have read, understood and agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately discontinue use of the Platform.

If you use the Platform on behalf of a company, organisation or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In such circumstances, references to "you" include both you and that entity.

2. OUR PLATFORM

E-Manthus operates an online shopping platform that enables customers in Lesotho to purchase products sourced from international suppliers.

Products displayed on the Platform are made available for purchase through E-Manthus. Unless expressly stated otherwise, E-Manthus is the seller responsible for processing Orders, arranging procurement from suppliers and facilitating delivery to customers.

E-Manthus does not manufacture most Products offered on the Platform. Product information, specifications and images are generally supplied by third-party manufacturers or suppliers.

3. DEFINITIONS

For purposes of these Terms:

Account means a registered customer account created on the Platform.

Business Day means any day other than a Saturday, Sunday or public holiday in the Kingdom of Lesotho.

Customer means any person who accesses the Platform or purchases Products.

Delivery Address means the address nominated by the Customer for delivery of an Order.

International Supplier means a third-party merchant, retailer or wholesaler from whom E-Manthus procures Products after an Order has been confirmed.

Order means a request submitted by a Customer to purchase one or more Products through the Platform.

Platform means the E-Manthus mobile application, website, software, systems and related services operated by E-Manthus.

Price means the purchase price displayed on the Platform at the time an Order is placed.

Product means any item offered for sale through the Platform.

User Content means any information, reviews, photographs, comments, ratings or other content submitted by a Customer through the Platform.

4. MODIFICATIONS TO THESE TERMS

E-Manthus reserves the right to amend these Terms from time to time.

Where changes materially affect your rights or obligations, we will provide reasonable notice by:

  1. publishing the updated Terms on the Platform;
  2. sending a notification through the Platform;
  3. sending an email; or
  4. using any other reasonable communication method.

Unless otherwise stated, revised Terms become effective thirty (30) days after publication.

Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the amended Terms, you must discontinue use of the Platform.

5. ADDITIONAL POLICIES

Certain services or promotions offered by E-Manthus may be governed by additional policies or specific terms.

These may include, among others:

  1. Privacy Policy;
  2. Returns and Refund Policy;
  3. Referral Programme Terms;
  4. Promotional Campaign Rules;
  5. Coupon or Voucher Terms; and
  6. Shipping or Delivery Policies.

Where any additional policy conflicts with these Terms, the additional policy shall prevail only in relation to the specific service or promotion to which it applies.

6. ELIGIBILITY

You may use the Platform only if:

  1. you are at least eighteen (18) years old; or
  2. you are under the supervision and with the permission of a parent or legal guardian who accepts responsibility for your use of the Platform.

By using the Platform, you represent and warrant that:

  1. you have the legal capacity to enter into binding agreements;
  2. all information you provide is accurate and complete;
  3. you will maintain accurate account information; and
  4. you will comply with all applicable laws of the Kingdom of Lesotho.

E-Manthus reserves the right to refuse access to the Platform or cancel any Account where these requirements are not met.

7. INTERPRETATION

Unless the context indicates otherwise:

  1. words importing the singular include the plural and vice versa;
  2. references to one gender include every gender;
  3. headings are included for convenience only and do not affect interpretation;
  4. references to legislation include amendments and replacements of that legislation; and
  5. the words "including" and "include" shall be interpreted without limitation.

8. ENTIRE AGREEMENT

These Terms, together with all policies incorporated by reference, constitute the entire agreement between you and E-Manthus regarding your use of the Platform and supersede all previous agreements, understandings or representations relating to the Platform.

9. CUSTOMER ACCOUNTS

9.1 Account Registration

Certain features of the Platform require you to create an Account.

When registering, you agree to provide information that is accurate, complete and current.

You are responsible for keeping your Account information up to date.

9.2 Account Security

You are solely responsible for:

  1. maintaining the confidentiality of your login credentials;
  2. restricting access to your device;
  3. all activity occurring under your Account.

You must notify E-Manthus immediately if you become aware of any unauthorised access to your Account.

E-Manthus shall not be liable for any loss resulting from your failure to protect your Account credentials.

9.3 One Account Per Customer

Unless expressly authorised by E-Manthus, each Customer may maintain only one Account.

Creating multiple Accounts to obtain promotional benefits, referral rewards or other advantages is prohibited.

Where multiple Accounts are created in breach of these Terms, E-Manthus may:

  1. merge the Accounts;
  2. cancel promotional benefits;
  3. suspend or terminate the Accounts; and
  4. cancel any affected Orders.

9.4 Verification

E-Manthus may request additional information to verify your identity before processing an Order or allowing continued use of the Platform.

Failure to provide requested information may result in delays, suspension or cancellation of your Account or Orders.

10. PRODUCTS

Products displayed on the Platform are offered subject to availability.

Descriptions, specifications, colours, dimensions and images are provided for general information only.

Although E-Manthus makes reasonable efforts to ensure accuracy, Products may differ slightly from the images displayed due to:

  1. manufacturer updates;
  2. photography;
  3. lighting;
  4. screen settings; or
  5. packaging changes.

Minor differences shall not constitute a defect.

11. PRODUCT AVAILABILITY

Products displayed on the Platform are sourced from third-party suppliers.

Accordingly:

  1. availability may change without notice;
  2. suppliers may discontinue Products at any time;
  3. inventory displayed on the Platform may not always reflect supplier inventory in real time.

If a Product becomes unavailable after an Order has been placed, E-Manthus may:

  1. cancel the affected Product;
  2. substitute it with an equivalent Product (with your approval); or
  3. refund the amount paid for the unavailable Product.

No additional compensation shall be payable for unavailable Products.

12. PLACING AN ORDER

An Order is placed once you complete the checkout process and submit your Order through the Platform.

Submission of an Order does not constitute acceptance by E-Manthus.

Every Order remains subject to:

  1. successful payment;
  2. fraud screening;
  3. product availability;
  4. verification where required; and
  5. acceptance by E-Manthus.

E-Manthus reserves the right to refuse or cancel any Order where:

  1. pricing errors exist;
  2. fraud is suspected;
  3. payment cannot be verified;
  4. Products become unavailable;
  5. delivery is not reasonably possible; or
  6. the Order violates these Terms.

13. ORDER CONFIRMATION

Once an Order has been accepted, E-Manthus will send confirmation through the Platform, email, SMS or another communication channel.

The confirmation will generally include:

  1. Order number;
  2. Products purchased;
  3. purchase price;
  4. delivery details; and
  5. Order status.

Customers should review the confirmation immediately and notify E-Manthus of any errors without delay.

14. PRICING

All Prices displayed on the Platform are stated in Lesotho Loti (LSL) unless otherwise indicated.

Prices may change at any time before an Order is placed.

Once an Order has been accepted and payment confirmed, the Price of that Order will not change except where:

  1. an obvious pricing error occurred;
  2. taxes or government charges require adjustment by law;
  3. the Customer requests changes to the Order.

E-Manthus reserves the right to correct genuine pricing errors.

If a pricing error materially affects an Order already placed, E-Manthus may:

  1. cancel the Order and issue a refund; or
  2. offer the Customer the option of proceeding at the correct Price.

15. PAYMENT

Payment must be made in full before E-Manthus commences procurement of Products.

Accepted payment methods may include:

  1. Mobile Money;
  2. debit cards;
  3. credit cards;
  4. bank transfers; and
  5. any other payment method approved by E-Manthus.

E-Manthus may change available payment methods at any time.

Orders will not be processed until payment has been successfully received and verified.

16. PAYMENT SECURITY

E-Manthus may use third-party payment service providers to process transactions.

Payment information may therefore be processed directly by secure payment providers and not stored by E-Manthus.

Customers authorise E-Manthus and its payment partners to verify transactions where necessary to prevent fraud.

Any fraudulent payment may result in:

  1. cancellation of the Order;
  2. suspension of the Account;
  3. reversal of promotional benefits; and
  4. reporting to law enforcement authorities.

17. PROCUREMENT OF PRODUCTS

Unless otherwise indicated, Products are generally procured from international suppliers only after payment has been successfully received.

Customers acknowledge that:

  1. procurement begins only after payment confirmation;
  2. procurement timelines may vary depending on supplier availability;
  3. international sourcing may affect delivery times; and
  4. procurement cannot always be reversed once initiated.

18. ORDER CANCELLATION BY THE CUSTOMER

A Customer may request cancellation of an Order before procurement has commenced.

Where procurement has not yet begun, E-Manthus may cancel the Order and issue a refund in accordance with its Refund Policy.

Once procurement has commenced, cancellation may no longer be possible.

If cancellation after procurement is permitted by E-Manthus, reasonable costs already incurred may be deducted from any refund.

19. ORDER CANCELLATION BY E-MANTHUS

E-Manthus may cancel an Order at any time before delivery where:

  1. payment cannot be verified;
  2. fraud is suspected;
  3. supplier stock becomes unavailable;
  4. a pricing error exists;
  5. legal or regulatory requirements prevent completion of the Order;
  6. delivery becomes impossible; or
  7. circumstances beyond E-Manthus's reasonable control prevent fulfilment.

Where payment has already been received, E-Manthus will refund the Customer in accordance with its Refund Policy.

Except where required by law, E-Manthus shall not be liable for any indirect or consequential losses arising from cancellation of an Order.

20. DELIVERY

20.1 Delivery Areas

E-Manthus delivers within the Kingdom of Lesotho. Delivery locations, delivery methods and associated charges may vary depending on the destination.

E-Manthus reserves the right to decline delivery to locations that are inaccessible, unsafe or otherwise impracticable.

20.2 Delivery Timeframes

Estimated delivery times displayed on the Platform are estimates only and are provided in good faith.

Unless otherwise indicated, Products sourced from international suppliers are generally expected to be delivered within 14 to 20 days after procurement.

Delivery times may vary due to factors including:

  1. supplier processing times;
  2. international shipping;
  3. customs inspections;
  4. courier operations;
  5. adverse weather conditions;
  6. public holidays;
  7. transport disruptions; or
  8. events beyond E-Manthus's reasonable control.

Delivery dates are not guaranteed.

A delay in delivery shall not constitute a breach of these Terms.

20.3 Delivery Information

Customers must provide complete and accurate delivery information.

If incorrect or incomplete information causes:

  1. delivery delays;
  2. failed deliveries;
  3. additional transport costs; or
  4. loss of the Product,

the Customer may be responsible for any additional costs incurred.

20.4 Receiving Delivery

The Customer, or any person appearing to accept delivery at the nominated delivery address, shall be deemed authorised to receive the Order.

Where proof of delivery has been obtained, delivery shall be regarded as complete.

20.5 Failure to Accept Delivery

Where delivery cannot be completed because:

  1. the Customer cannot be contacted;
  2. the delivery address is incorrect;
  3. the Customer refuses delivery without lawful justification; or
  4. the Customer fails to collect the Order where collection has been agreed,

E-Manthus may charge reasonable storage, redelivery or handling fees before releasing the Order.

If the Order remains unclaimed for more than thirty (30) days after notification, E-Manthus may cancel the Order without further liability, subject to applicable law.

21. INSPECTION OF PRODUCTS

Customers should inspect Products as soon as reasonably possible after delivery.

Any obvious damage, shortages or incorrect Products should be reported to E-Manthus within seven (7) days after delivery.

Failure to report within this period does not necessarily affect statutory rights but may affect E-Manthus's ability to investigate the issue.

22. RISK AND OWNERSHIP

Risk in a Product passes to the Customer upon delivery.

Ownership of a Product passes to the Customer only after E-Manthus has received full payment for that Product.

Until ownership passes, E-Manthus reserves all rights available under law.

 

23. RETURNS

E-Manthus aims to ensure customer satisfaction.

Subject to these Terms and any applicable Return Policy, Customers may return eligible Products.

To qualify for a return, Products should generally:

  1. be returned within the applicable return period;
  2. not be intentionally damaged;
  3. include original accessories where reasonably available; and
  4. comply with any additional return requirements communicated by E-Manthus.

Certain Products may not be eligible for return, including where prohibited by law or clearly identified on the Platform before purchase.

24. FREE RETURNS

Where E-Manthus advertises Free Returns, the following conditions apply unless otherwise stated:

  1. the return request must comply with the applicable return period;
  2. the Product must be returned through the process specified by E-Manthus;
  3. E-Manthus may arrange collection or provide return instructions;
  4. Free Returns may be withdrawn or modified for future purchases without affecting Orders already placed.

Nothing in this section limits any statutory consumer rights.

25. DAMAGED, DEFECTIVE OR INCORRECT PRODUCTS

If a Customer receives:

  1. a damaged Product;
  2. a defective Product;
  3. an incorrect Product; or
  4. an incomplete Order,

the Customer should notify E-Manthus as soon as reasonably possible and provide supporting information, including photographs where requested.

Following assessment, E-Manthus may, at its discretion and subject to applicable law:

  1. replace the Product;
  2. repair the Product where appropriate;
  3. provide a refund; or
  4. offer another reasonable remedy.

26. REFUNDS

Approved refunds will generally be processed using the original payment method wherever reasonably possible.

Refund processing times depend on payment providers and financial institutions and are outside E-Manthus's control.

Refunds will ordinarily exclude:

  1. losses arising from delays;
  2. indirect losses;
  3. consequential damages; and
  4. any costs not paid to E-Manthus,

unless otherwise required by law.

27. EXCHANGES

Where stock is available, E-Manthus may permit the exchange of eligible Products.

An exchange is subject to:

  1. Product availability;
  2. compliance with the Returns Policy; and
  3. payment of any price difference where applicable.

Where an identical Product is unavailable, E-Manthus may offer an alternative Product or a refund.

28. CUSTOMER RESPONSIBILITIES

Customers agree to:

  1. provide accurate delivery details;
  2. inspect Products upon delivery;
  3. use Products in accordance with manufacturer instructions;
  4. retain proof of purchase where reasonably required; and
  5. cooperate with E-Manthus during investigations relating to returns or delivery issues.

29. LIMITATION REGARDING PRODUCT INFORMATION

Product descriptions, specifications, dimensions, colours and images are provided by manufacturers or international suppliers.

While E-Manthus makes reasonable efforts to ensure accuracy, it does not warrant that supplier information is complete, current or entirely free from error.

Minor differences in colour, packaging, dimensions or appearance shall not constitute defects unless they materially affect the Product's intended use.

30. EVENTS BEYOND OUR CONTROL

E-Manthus shall not be liable for delays in procurement, shipping or delivery caused by circumstances beyond its reasonable control, including but not limited to:

  1. customs delays;
  2. supplier shortages;
  3. transport interruptions;
  4. strikes;
  5. war;
  6. civil unrest;
  7. pandemics;
  8. natural disasters;
  9. government restrictions;
  10. import or export controls;
  11. communication failures; or
  • failures of third-party logistics providers.

Where such an event occurs, E-Manthus shall use reasonable efforts to minimise disruption but shall not be liable for any resulting delay or inability to fulfil an Order.

31. REFERRAL PROGRAMME

31.1 General

E-Manthus may operate a referral programme that allows eligible Customers to receive promotional rewards for referring new customers to the Platform.

Participation in the referral programme is voluntary and subject to these Terms and any additional Referral Programme Rules published by E-Manthus.

31.2 Eligibility

To qualify for a referral reward:

  1. the referred customer must be a genuine new customer who has not previously created an E-Manthus Account;
  2. the referred customer must satisfy any minimum purchase requirements communicated by E-Manthus;
  3. the qualifying Order must be successfully paid for and not subsequently cancelled or refunded; and
  4. all referral conditions published by E-Manthus must be met.

Referral rewards become available only after the qualifying Order has been verified.

31.3 Referral Rewards

Referral rewards may include:

  1. discount coupons;
  2. promotional vouchers;
  3. account credits;
  4. loyalty rewards;
  5. or any other incentive determined by E-Manthus.

Referral rewards:

  1. are not redeemable for cash;
  2. are non-transferable unless expressly permitted;
  3. may expire after the period specified by E-Manthus; and
  4. may only be used in accordance with their published terms.

31.4 Referral Fraud

Customers must not:

  1. refer themselves using another Account;
  2. create multiple Accounts;
  3. use false identities;
  4. manipulate referral codes;
  5. exploit system errors;
  6. participate in referral rings; or
  7. engage in any conduct intended to unfairly obtain referral rewards.

If E-Manthus reasonably believes that abuse has occurred, it may:

  1. cancel referral rewards;
  2. reverse discounts;
  3. suspend or terminate Accounts;
  4. cancel Orders connected with fraudulent activity; and
  5. take any other action permitted by law.

E-Manthus's determination regarding referral abuse shall be final, acting reasonably and in good faith.

32. PROMOTIONS AND COUPONS

From time to time, E-Manthus may offer:

  1. promotional campaigns;
  2. discount codes;
  3. coupons;
  4. seasonal offers;
  5. introductory offers;
  6. loyalty rewards; or
  7. other marketing incentives.

Unless otherwise stated:

  1. only one coupon may be used per Order;
  2. coupons may not be exchanged for cash;
  3. coupons may not be sold or transferred;
  4. expired coupons shall not be honoured;
  5. coupons apply only to eligible Products.

Additional promotional terms may apply to specific campaigns.

33. LOYALTY PROGRAMMES

E-Manthus may introduce customer loyalty programmes from time to time.

Participation in any loyalty programme is governed by separate programme rules.

E-Manthus reserves the right to:

  1. amend loyalty benefits;
  2. suspend the programme;
  3. discontinue the programme; or
  4. modify eligibility requirements,

provided such changes do not affect benefits already validly earned unless required to prevent fraud or comply with law.

 

34. CUSTOMER REVIEWS

Customers may submit reviews regarding Products purchased through the Platform.

Reviews must:

  1. be honest;
  2. be based on genuine experience;
  3. not be misleading;
  4. not contain offensive, abusive or unlawful content; and
  5. comply with these Terms.

E-Manthus reserves the right to remove reviews that violate these Terms without prior notice.

Publication of a review does not imply endorsement by E-Manthus.

35. USER CONTENT

Customers may submit photographs, comments, suggestions, reviews or other content through the Platform.

By submitting User Content, you grant E-Manthus a worldwide, non-exclusive, royalty-free licence to:

  1. use;
  2. reproduce;
  3. publish;
  4. display;
  5. adapt;
  6. distribute; and
  7. reproduce such User Content

for the operation, improvement, promotion and marketing of the Platform.

You retain ownership of your original User Content.

36. CUSTOMER RESPONSIBILITIES REGARDING USER CONTENT

You warrant that:

  1. you own or have permission to submit the User Content;
  2. your User Content does not infringe any intellectual property rights;
  3. your User Content is accurate to the best of your knowledge; and
  4. submission of the User Content does not violate any law.

You remain solely responsible for all User Content you submit.

37. REMOVAL OF CONTENT

E-Manthus may remove, edit, restrict or disable any User Content that:

  1. violates these Terms;
  2. is unlawful;
  3. infringes intellectual property rights;
  4. is misleading;
  5. promotes fraudulent conduct;
  6. contains malicious software;
  7. is abusive, threatening or discriminatory; or
  8. is otherwise considered inappropriate for the Platform.

E-Manthus has no obligation to publish or retain any User Content.

38. ACCEPTABLE USE OF THE PLATFORM

Customers agree to use the Platform lawfully and responsibly.

You must not:

  1. provide false information;
  2. impersonate another person;
  3. access another person's Account without authority;
  4. interfere with Platform operations;
  5. introduce malware, viruses or harmful code;
  6. reverse engineer or attempt to reverse engineer the Platform;
  7. circumvent Platform security measures;
  8. scrape or harvest Product information without permission;
  9. use automated software, bots or scripts to access the Platform;
  10. manipulate Product prices;
  11. misuse promotional campaigns;
  12. engage in fraudulent payments or chargeback abuse;
  13. upload unlawful or offensive material;
  14. use the Platform to facilitate criminal activity; or
  15. otherwise use the Platform in a manner inconsistent with these Terms.

39. SUSPICIOUS ACTIVITY

E-Manthus may investigate any activity that appears suspicious, fraudulent or unlawful.

During an investigation, E-Manthus may:

  1. suspend Orders;
  2. delay payments or refunds;
  3. temporarily restrict Account access;
  4. request verification documents; or
  5. cooperate with regulatory or law enforcement authorities.

Failure to cooperate may result in Account suspension or termination.

40. COMMUNICATIONS

By creating an Account, you consent to receive communications relating to:

  1. Orders;
  2. deliveries;
  3. returns;
  4. account security;
  5. customer support;
  6. policy updates; and
  7. other operational matters.

Subject to applicable law, you may also receive promotional communications from E-Manthus.

You may opt out of marketing communications at any time, although operational communications relating to your Account or Orders may continue where necessary.

41. FEEDBACK

Any suggestions, ideas or feedback submitted to E-Manthus may be used by E-Manthus without compensation to you.

By providing feedback, you grant E-Manthus a perpetual, worldwide, irrevocable, royalty-free licence to use, modify and incorporate that feedback into its business, products or services.

Nothing in this section affects your ownership of intellectual property existing independently of such feedback.
